PUBLIC OFFER AGREEMENT

for access to the educational AI platform Charts AI

ARTICLE 1. GENERAL PROVISIONS

1.1. Individual Entrepreneur Saya (IIN: 030508601074), the Provider, publishes this Public Offer Agreement (the Agreement or Offer). 1.2. This Agreement is a public offer under the civil legislation of the Republic of Kazakhstan, including Article 395(5) and Article 396(3) of the Civil Code. 1.3. The Offer is accepted by any of the following: registration on the Platform; payment for the Services, including successful card payment; starting to use the Platform; or signing and sending an accession statement. 1.4. Upon acceptance, the Agreement is concluded on these terms. The accepting person is the Customer, also referred to as the User or Client. The Russian version prevails in case of translation differences.

ARTICLE 2. TERMS AND DEFINITIONS

2.1. Platform means the Charts AI educational AI-mentoring online service available at charts.kz and related subdomains controlled by the Provider. 2.2. Customer means any individual or legal entity using the Platform. Payer means the person paying for the Services, including by Payment Card. 2.3. Services mean access for the selected term to the Platform features, including the text and voice AI assistant; chart analysis from uploaded images; the Charts workspace with technical analysis and educational setups; the Assets portfolio with AI and fundamental analysis; trade import and journal; market data and quotes; forex-news calendar; user guide; extended AI context; support; and other features shown in the account. 2.4. AI Assistant means the Charts AI tool that describes charts, creates illustrative educational setups with entry, stop-loss, take-profit and risk/reward levels, and provides educational portfolio analysis. Its output is educational and analytical only. 2.5. Content means all Platform data, including analytics, charts, AI responses, educational scenarios and demonstration materials. 2.6. Payment Card means an accepted Visa or Mastercard card used on the secure page of the acquiring bank or other payment partner.

ARTICLE 3. SUBJECT OF THE AGREEMENT

3.1. The Provider grants the Customer access to the Platform for the selected access term. 3.2. The Services are exclusively informational, analytical and educational AI mentoring. 3.3. CRITICAL NOTICE. The Provider does NOT provide investment recommendations, buy/sell signals, price forecasts or trade instructions. All setups, entry, stop-loss, take-profit and risk/reward levels, asset reviews and wording such as hold, add or reduce are illustrative educational materials, not trading signals or individualized investment advice. Platform data, scenarios, simulated trades and visualizations must not be used as the direct basis for financial decisions.

ARTICLE 4. NO LICENSED FINANCIAL ACTIVITY

4.1. The Provider is not a broker. 4.2. The Provider is not an investment consultant or adviser. 4.3. The Provider does not manage assets. 4.4. The Provider does not conduct activity requiring a license under Kazakhstan law or another jurisdiction.

ARTICLE 5. RISKS

5.1. The Customer acknowledges that trading cryptocurrencies, precious metals, foreign currency, shares, derivatives and other financial instruments involves high risk. 5.2. Partial or total loss of funds is possible. 5.3. Past results and historical data do not guarantee future results. 5.4. The Customer fully accepts all risks connected with Platform use and independent trading.

ARTICLE 6. CUSTOMER INDEPENDENCE

6.1. The Customer independently makes all trading, investment and money-management decisions. 6.2. The Provider does not control those decisions. 6.3. The Provider has no access to the Customer's funds, brokerage accounts or wallets.

ARTICLE 7. SERVICE CONTENT AND PRICE

7.1. Charts AI is one unified product including the core functions listed in clause 2.3. Available options are: (a) Monthly access. Each monthly billing period costs KZT 47,990. (b) Three-month package. Each three-month billing period costs KZT 140,990. 7.2. Daily AI limits are shown in the account and/or pricing page and reset at 00:00 Astana time (UTC+5). The Provider may reasonably adjust limits while preserving the essential purpose of the Services. 7.3. The exact payable amount and currency are shown before payment confirmation. Current terms are published at charts.kz.

ARTICLE 8. SERVICE DELIVERY AND ACCESS TERM

8.1. After successful payment and registration, access is normally activated immediately and in all cases no later than 48 hours after payment confirmation. Access is delivered through the account, and confirmation may be sent by email. 8.2. Access lasts for one paid monthly billing period or three months, depending on the selected option, from activation. 8.3. With the Customer's separate explicit consent, the selected plan renews automatically for the same period at the applicable price. Without that consent, only one payment is made for the selected period. 8.4. At expiry, AI features are disabled, while session history and the trade journal may remain readable. A Platform guide is included; other courses or video lessons are not.

ARTICLE 9. PAYMENT PROCEDURE AND SECURITY

9.1. The Customer may select access at charts.kz or receive a secure link from support and pay by Visa or Mastercard on the page of the Provider's acquiring bank or payment partner. Signing a separate paper agreement is not required to conclude this Agreement. 9.2. The exact debit amount and currency are shown before confirmation. If the card-account currency differs, conversion, exchange rates and possible fees are set by the card issuer, not the Provider. 9.3. The Customer enters card details on the secure payment page and, when required, authenticates using 3-D Secure or another bank method. Payment is completed upon successful authorization. A declined transaction does not activate access. 9.4. Recurring charges require separate explicit consent to the amount and frequency. The monthly plan renews monthly and the three-month plan renews every three months. Renewal may be cancelled before the next billing date through available settings or support; cancellation stops future charges. 9.5. The Provider does not receive or store the full card number (PAN), CVV/CVC or 3-D Secure password. These data are entered and processed by the acquirer or payment partner using its security controls. 9.6. Kaspi, installment payment, bank transfer or cash may also be available when displayed or agreed, using the details in Article 21. 9.7. The Payer should retain the electronic receipt, payment confirmation, transaction number, this Offer and other transaction records until the paid term and any claims are complete.

ARTICLE 10. CANCELLATION AND REFUNDS

10.1. Under Article 686(1) of the Civil Code of Kazakhstan, the Customer may terminate the Agreement at any time. Cancelling monthly renewal stops future charges. A refund of an amount already paid is reduced only by documented actual expenses and the value of access actually delivered; the balance is refunded. 10.2. For monthly access, delivered value is determined within the amount paid for the relevant billing period, taking account of actual access time. Cancelling future renewal does not end the already paid period or create another charge. 10.3. For the three-month package, each full month is valued at one third of the package price for refund calculation. Each full month that has not started and for which access has not been provided is included in the refundable unused portion. For a commenced month, only the value of access actually delivered and the Provider's documented actual expenses are taken into account. 10.4. If the Platform is materially nonfunctional for reasons on the Provider's side and the Customer reports it in writing within eight calendar days after access is granted, the full amount paid is refunded without deduction. Brief maintenance or issues with the Customer's device, network or software alone are not material Platform failure. 10.5. If the calculated refund is zero or negative, no refund is due, except under clause 10.4 or where required by law. 10.6. A refund request must be sent to business@charts.kz as PDF, JPEG or a readable electronic message and include applicant details, account email, payment amount and date, reason, transaction number or payment evidence, date and signature if available. 10.7. The Provider decides within 30 working days after receiving a complete request and transfers approved funds within 14 working days after the decision. Bank or payment-system posting may take additional time. 10.8. Card payments are returned to the same card or original payment instrument under acquirer rules. Other payments are returned to the original method unless law or payment-partner rules require otherwise. 10.9. A refund termination ends access from the date used in the refund calculation. Cancelling only future renewal keeps access through the paid term. Credit or installment refunds may account for documented bank charges to the extent permitted by law. 10.10. Mandatory Kazakhstan consumer-protection rules prevail. Refund calculations for discounted Services use the amount actually paid, not a reference or struck-through price.

ARTICLE 11. LIMITATION OF LIABILITY

11.1. The Provider is not liable for Customer losses, loss of funds or lost profits resulting from Platform use or the Customer's independent trading decisions. 11.2. Platform data may contain errors or inaccuracies. The Customer must independently verify information before acting. 11.3. The Provider's aggregate liability is limited to the amount paid by the Customer for the Platform Services, except where mandatory Kazakhstan law does not allow such limitation.

ARTICLE 12. AI ASSISTANT

12.1. The AI Assistant uses third-party large language models and may make errors, give inaccurate answers or provide outdated information. 12.2. The Customer must independently verify AI information before acting on it. 12.3. AI responses are not investment recommendations.

ARTICLE 13. CONTENT AND DEMONSTRATION MATERIALS

13.1. Screenshots, sample trades, historical results, reviews, statistics and dashboards on the Platform or in marketing materials are demonstrations. 13.2. Demonstration materials do not guarantee similar results for any Customer.

ARTICLE 14. GEOGRAPHY AND COMPLIANCE

14.1. The Customer is responsible for compliance with the laws of their country of residence and any other applicable jurisdiction. 14.2. Platform access may be restricted for certain jurisdictions at the Provider's discretion or as required by law.

ARTICLE 15. INTELLECTUAL PROPERTY

15.1. Charts AI, its software, design, trademarks, logos, educational and reference materials and original Content are protected and belong to the Provider or its licensors. Unauthorized copying, distribution, resale, public display or transfer is prohibited. 15.2. The Customer retains rights in Customer-created content and grants the Provider a non-exclusive license to use it solely to operate the service.

ARTICLE 16. PERSONAL DATA

16.1. Personal data is processed under Kazakhstan's Law on Personal Data and Its Protection and the Privacy Policy published on the Platform. 16.2. By accepting, the Customer consents to collection, processing and cross-border transfer as needed to provide the Services. Data may be shared with infrastructure, AI, communications and payment providers solely for service delivery, payment, security and legal compliance. It is not shared for third-party marketing without a separate basis. 16.3. Card data is processed by the acquirer or payment partner. The Provider does not receive or store full PAN, CVV/CVC or a 3-D Secure password.

ARTICLE 17. TERMINATION AND BLOCKING

17.1. The Customer may delete an account through settings or support. Deletion does not cancel obligations or settlements accrued beforehand. 17.2. The Provider may suspend or block an account after reasonable notice for Agreement violations, except where immediate action is justified by abuse, fraud or law. Sharing access and unethical communication with Provider representatives are prohibited.

ARTICLE 18. FORCE MAJEURE

18.1. The Provider is not liable for inability to provide Services due to circumstances beyond reasonable control, including technical failures, cyberattacks, third-party outages involving infrastructure, payment processing, AI models or hosting, internet outages, government action, natural disasters, war or other force majeure.

ARTICLE 19. DISPUTE RESOLUTION

19.1. Disputes are first addressed through good-faith negotiation. The Customer may also use Kazakhstan's Unified Consumer Protection Information System at e-tutynushy.kz. 19.2. Unresolved disputes are heard by competent Kazakhstan courts at the Provider's location. 19.3. Terms conflicting with mandatory consumer law are invalid to that extent and do not remove statutory Customer rights.

ARTICLE 20. CHANGES AND OFFER TERM

20.1. The Offer is indefinite. The Provider may amend it by publishing a dated current version on the Platform, effective upon publication. 20.2. The version in effect on acceptance or payment governs the parties' relationship. Continued use after publication means acceptance to the extent permitted by law; price changes do not alter a period already paid for.
